End User License Agreement

Introduction

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you (either an individual or a single entity, referred to as "you" or "Licensee") and SpiceLogic Inc. ("SpiceLogic," "we," "us," or "our") for the use of SpiceLogic software products, including associated documentation, media, and online materials (collectively, the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

The Software is licensed, not sold. SpiceLogic retains all ownership and intellectual property rights in the Software.

1. License Grant

1.1 Trial Version

SpiceLogic grants you a limited, non-exclusive, non-transferable license to install and use the trial version of the Software for evaluation purposes. The trial version is fully functional and may display a visible purchase prompt. If you find the Software useful and wish to continue using it, you must purchase a license.

1.2 Perpetual License

Upon purchasing a license, SpiceLogic grants you a perpetual, non-exclusive, non-transferable license to install and use the Software on computers you own or control, subject to the terms of this Agreement. "Perpetual" means you may use the licensed version of the Software indefinitely, provided you comply with this Agreement.

1.3 Updates and Support Subscription

Your license purchase includes 12 months of free updates and technical support from the date of purchase. This includes minor updates, service releases, and major new versions released during your subscription period.

After 12 months, you may renew your subscription at a discounted rate to continue receiving updates and support. If you choose not to renew, you may continue using the last version you were entitled to receive—your perpetual license to that version remains valid indefinitely.

2. Installation and Use

You may install and use the Software on any computer running a compatible operating system (e.g., Windows 10, Windows 11, or future compatible versions). You may make reasonable backup copies of the Software for archival purposes.

The specific number of installations permitted depends on your license type (e.g., single-user, site license). Please refer to your license documentation for details.

3. Restrictions

You may NOT:

• Redistribute: Distribute, sublicense, rent, lease, or lend the Software or your license key to any third party. You may distribute applications you create using the Software, but not the Software itself.
• Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
• Remove Notices: Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software.
• Compete: Use the Software or any derivative work to create a competing product or service.
• Transfer: Transfer your license to another party without prior written consent from SpiceLogic.

4. Intellectual Property

The Software is protected by copyright laws, international treaties, and other intellectual property laws. SpiceLogic and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights.

This Agreement grants you no rights to SpiceLogic trademarks or service marks.

5. Data Collection and Privacy

The Software may collect certain technical data as described in our Privacy Policy, including optional crash reports, update checks, and feedback submissions. We do not collect your project content or personal files unless you explicitly choose to share them (e.g., when reporting a crash).

By using the Software, you consent to the data practices described in our Privacy Policy.

6. AI-Powered Features

Certain SpiceLogic products may include AI-powered features that utilize third-party AI services. These features:

• May require an active internet connection and separate subscription
• May transmit data to third-party AI service providers to function
• Are provided for informational and decision-support purposes only
• Should not be relied upon as the sole basis for critical decisions

AI-generated outputs may contain errors or inaccuracies. You are responsible for reviewing and validating any AI-assisted analysis before making decisions based on it.

7. Refund Policy

Because our trial version is fully functional and allows complete evaluation before purchase, all sales are final. Once your payment is processed and you receive your license key, no refunds will be issued.

We strongly encourage you to thoroughly evaluate the trial version to ensure the Software meets your needs before purchasing.

8. Support Services

SpiceLogic may provide technical support during your active subscription period. Support is provided on a reasonable-efforts basis and does not guarantee resolution of all issues. SpiceLogic reserves the right to decline support requests that are beyond the scope of the Software's intended functionality.

Any supplemental code, patches, or updates provided as part of support services are subject to this Agreement.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SPICELOGIC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such cases, any implied warranties are limited to the minimum period required by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPICELOGIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SOFTWARE.

IN NO EVENT SHALL SPICELOGIC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above limitations may not apply to you.

11. Termination

This Agreement is effective until terminated. SpiceLogic may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

Sections 4, 9, 10, and 12 shall survive termination of this Agreement.

12. General Provisions

12.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

12.2 Entire Agreement

This Agreement constitutes the entire agreement between you and SpiceLogic regarding the Software and supersedes all prior agreements, understandings, and communications, whether written or oral.

12.3 Amendments

SpiceLogic reserves the right to modify this Agreement at any time. Updated terms will be posted on our website. Your continued use of the Software after changes are posted constitutes acceptance of the modified Agreement.

12.4 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.5 Waiver

Failure by SpiceLogic to enforce any provision of this Agreement shall not constitute a waiver of that provision or the right to enforce it at a later time.

12.6 Export Compliance

You agree to comply with all applicable export laws and regulations. You may not export or re-export the Software to any country, entity, or person prohibited by applicable law.
